CODE OF CONDUCT

FOR OFFICERS AND EMPLOYEES OF

Dairyland Power Cooperative

CONCERNING THE SHARING OF TRANSMISSION

INFORMATION

 

 

A.        “DPC” means Dairyland Power Cooperative and any subsidiary of Dairyland Power Cooperative.

 

B.        “GEN~SYS” means GEN~SYS Energy, a cooperative association authorized to sell capacity and energy at market-based rates, of which DPC is a member.

 

C.        No officer or employee of DPC shall directly (or indirectly through an officer or employee of another affiliate of DPC) provide any transmission information to any officer or employee of GEN~SYS or other entities that perform wholesale merchant functions, if such information is not available to other transmission users on an OASIS. GEN~SYS and other entities engaged in wholesale market activities will not be provided with preferential access to any information about the DPC transmission system that is not available to all users of an OASIS.

 

D.        If any officer or employee of DPC engaged in transmission operations discloses transmission information that is not available on an OASIS to personnel that perform wholesale merchant functions for GEN~SYS or any other entity, then DPC shall ensure that such information is posted on an OASIS as soon as practicable.

 

E.         The personnel of DPC engaged in providing transmission service will not provide, either directly or indirectly, to GEN~SYS or other marketing entity personnel that perform a wholesale merchant function, information regarding the transmission price or terms offered by DPC to a transmission customer or potential transmission customer or the identity of such customer or potential customer.

 

F.         No officer or employee of DPC shall make any statement suggesting or indicating that:

 

a.       a person or company doing business with GEN~SYS will receive preferential treatment with regard to the purchase of transmission service from DPC; or

 

b.      a person or company doing business with DPC will receive preferential treatment in the purchase or sale of wholesale power from GEN~SYS.

G.        DPC will not directly or indirectly provide GEN~SYS with non-public information regarding transmission availability, terms, or rates on DPC‘s transmission system unless such information:  (1) is provided in response to a request by GEN~SYS for transmission service under DPC’s transmission tariff (2) pertains to the requested service; and (3) is comparable to the information provided to non-affiliated entities in the context of their requests for transmission service.  DPC will post on its OASIS the disposition of any request for transmission service by GEN~SYS in the same manner as it would post information for a request for service by any non-affiliated eligible entity.

H.        DPC will not provide GEN~SYS personnel that perform a wholesale merchant function with access to DPC transmission system control center (or similar facilities) that differs in any way from the access available to organizations that engage in wholesale market activities.
