Potential Merger Partners:
On June 27, 2012, Gaz Métro Limited Partnership (“Gaz Métro”) acquired all of the issued and outstanding stock of Central Vermont Public Service Corporation (“CVPS”). A merger among CVPS, and Gaz Métro subsidiary, Green Mountain Power Corporation is planned for September 30, 2012.
• Green Mountain Power Corporation, which has FERC wholesale market-based rate authority and generates, transmits, distributes and sells electricity in Vermont.
Assignment of Transmission Rights Agreement:
An assignment of Transmission Rights Agreement has been made effective on July 17, 2008 between Braintree Electric Light Department, a Massachusetts municipal light department, and Central Vermont Public Service Corporation. Braintree Electric Light Department is an Interconnection Rights Holder with rights in the Phase I/II high voltage direct current transmission facilities from the Sandy Pond converter station in New England, consisting of a Phase I Percentage Interest of 0.30879 %, a Phase II percentage interest of 0.3136%, resulting in a combined Percentage Interest of 0.31194 of the Phase I/II HVDC-TC transmission capacity. Central Vermont Public Service has taken a temporary assignment of Braintree Electric Light Department’s transmission rights from September 1, 2008, hour ending 01:00 to May 31, 2010, hour ending 24:00.
